Securities and Futures (Market Conduct) (Exemption from Section 199) Regulations 2008

In exercise of the powers conferred by section 337(1) of the Securities and Futures Act, the Monetary Authority of Singapore hereby makes the following Regulations:

Citation and commencement

1.  These Regulations may be cited as the Securities and Futures (Market Conduct) (Exemption from Section 199) Regulations 2008 and shall come into operation on 4th February 2008.

Definitions

2.  In these Regulations —

“prospectus”, “replacement document”, “securities” and “supplementary document” have the same meanings as in section 239(1) of the Act;

“SGX-ST” means the Singapore Exchange Securities Trading Limited;

“SGX Listing Rules” means the listing rules of the SGX-ST for the Singapore Exchange Catalist.

Exemption from section 199 of Act

3.  Section 199 of the Act shall not apply to the SGX-ST by reason only of its making any of the following documents available on its internet website at http://www.sgxcatalist.com:

(a) a preliminary document lodged under section 240(2) of the Act in relation to an offer of shares or units of shares to be listed for quotation on the Singapore Exchange Catalist;

(b) a prospectus lodged under section 240(1)(a)(ii) of the Act in relation to an offer of shares or units of shares to be listed for quotation on the Singapore Exchange Catalist;

(c) a supplementary document lodged under section 241(1) of the Act in relation to an offer of shares or units of shares to be listed for quotation on the Singapore Exchange Catalist;

(d) a replacement document lodged under section 241(1) of the Act in relation to an offer of shares or units of shares to be listed for quotation on the Singapore Exchange Catalist;

(e) an offer information statement lodged under section 277(1) of the Act in relation to an offer of securities issued by an entity whose shares are listed for quotation on the Singapore Exchange Catalist;

(f) circulars issued under the SGX Listing Rules, in relation to reverse takeovers or very substantial acquisitions, by entities whose shares are listed for quotation on the Singapore Exchange Catalist.
