| Short title |
| 1. This Act is the Agency for Science, Technology and Research Act 1990. |
| Interpretation |
2. In this Act, unless the context otherwise requires —

| Common seal |
4.—(1) The Agency must have a common seal and such seal may be broken, altered or made anew as the Agency thinks fit.

7.—(1) The Agency has power to do all things that are necessary or convenient to be done for, or in connection with, the performance of its functions and, in particular, may —

| Grants-in-aid |
| 8. For the purpose of enabling the Agency to carry out its functions under this Act, the Minister may make grants‑in‑aid to the Agency of such sums of money as the Minister may determine out of moneys to be provided by Parliament. |
| Power to borrow |
| 9. The Agency may for the purposes of this Act raise loans from the Government or, with the Minister’s consent, from any other source. |

| Bank accounts and application of revenue |
11.—(1) The Agency must open and maintain one or more accounts with any bank or banks that the Agency thinks fit.

| Power of investment |
| 12. The Agency may invest its moneys in accordance with the standard investment power of statutory bodies as defined in section 33A of the Interpretation Act 1965. [45/2004] |

| Financial year |
| 14. The financial year of the Agency begins on 1 April of each year and ends on 31 March of the succeeding year. [5/2018] |
| Directions by Minister |
| 15.—(1) The Minister may give to the Agency any direction under section 5 of the Public Sector (Governance) Act 2018. [5/2018]

| Chief executive officer, other officers and employees, etc. |
| 16.—(1) There must be a chief executive officer of the Agency, whose appointment, removal, discipline and promotion must be in accordance with the Public Sector (Governance) Act 2018. [5/2018]

| Protection from personal liability |
| 17. No suit or other legal proceedings shall lie personally against any member, officer or employee of the Agency or other person acting under the direction of the Agency for anything which is in good faith done or intended to be done in the execution or purported execution of this Act. |

| Preservation of secrecy |
| 19.—(1) Except for the purpose of performing his or her duties or exercising his or her functions or when lawfully required to do so by any court or where required or allowed by the provisions of any written law, a member, officer, employee or agent of the Agency must not disclose any information relating to the affairs of any person which has been obtained by the member, officer, employee or agent in the performance of his or her duties or the exercise of his or her functions. 20.—(1) The Agency has the exclusive right to the use of such symbol or representation as the Agency may select or devise and to display or exhibit such symbol or representation in connection with the Agency’s activities or affairs.

| Saving provisions |
21.—(1) The change of the name of the National Science and Technology Board to the Agency for Science, Technology and Research under the National Science and Technology Board (Amendment) Act 2002 does not —

| Transfer to Agency of property, assets, liabilities, etc., relating to metrology |
22.—(1) As from 1 January 2008, all movable and immovable property vested in the Board and used or managed by the national metrology centre of the Board, and all assets, interests, rights, privileges, liabilities and obligations of the Board relating to the national metrology centre, are transferred to and vest in the Agency without further assurance, act or deed.

| Transfer of employees |
23.—(1) As from 1 January 2008, every person employed immediately before that date by the Board in its national metrology centre is transferred to the service of the Agency on terms no less favourable than those enjoyed by him or her immediately prior to his or her transfer.

| Existing contracts |
24. All deeds, bonds, agreements, instruments and arrangements subsisting immediately before 1 January 2008 to which the Board, or any person acting on its behalf, is a party and relating to —

| Misconduct or neglect of duty by employee before transfer |
| 25. The Agency may reprimand, reduce in rank, retire, dismiss or punish in some other manner a person transferred to the service of the Agency under section 23 who had, while he or she was in the employment of the Board, been guilty of any misconduct or neglect of duty which would have rendered him or her liable to be reprimanded, reduced in rank, retired, dismissed or punished in some other manner if he or she had continued to be in the employment of the Board, and if section 23 had not been enacted. | Constitution and proceedings of Agency |
| Appointment of Chairperson and other members |
1.—(1) The Chairperson and other members must be appointed by the Minister.

| Tenure of office of members |
| 2. A member holds office on such conditions and for such term, as the Minister may determine. |
| Deputy Chairperson |
3.—(1) The Minister may appoint not more than 2 members to be Deputy Chairpersons of the Agency.
|
| Temporary Chairperson |
| 4. The Minister may appoint any member to be a temporary Chairperson during the temporary incapacity from illness or otherwise, or during the temporary absence from Singapore, of the Chairperson. |
| Temporary members |
| 5. The Minister may appoint any person to be a temporary member during the temporary incapacity from illness or otherwise, or during the temporary absence from Singapore, of any member. |
| Revocation of appointment |
| 6. The Minister may, at any time, revoke the appointment of the Chairperson or a Deputy Chairperson or any member without giving any reason. |
| Resignation |
| 7. Any member may resign from his or her appointment at any time by giving written notice to the Minister. |
| Chairperson may delegate functions |
| 8. The Chairperson may, by instrument in writing, authorise any member to exercise any power or perform any function conferred on the Chairperson by or under this Act. |
| Vacation of office |
9. The office of a member is vacated if the member —

| Filling of vacancies |
| 10. If a member resigns, dies or has his or her appointment revoked or otherwise vacates his or her office before the expiry of the term for which he or she has been appointed, the Minister may appoint another person for the unexpired period of the term of office of the member in whose place he or she is appointed. |
| Disqualification from membership |
11. No person may be appointed or continue to hold office as a member if he or she —

| Salaries, fees and allowances payable to members |
| 12. There are to be paid to the Chairperson and other members out of the funds of the Agency such salaries, fees and allowances as the Minister may determine. |
| Meetings and proceedings of Agency |
13.—(1) The Chairperson may summon meetings as often as may be required.
|
| Validity of acts |
| 14. The acts of a member are valid despite any defect in his or her appointment or qualifications. [21/2008; 25/2009; 5/2018] |
